3. DELIVERY AND SHIPMENT 3.1 Time of delivery: All goods shall be shipped within about 90 working days after receipt of order from the Buyer. 3.2 Kind of transportation: by sea. 3.3 Destination: Haiphong port, Vietnam 3.4 Loading port: Ningbo port, China 3.5 Shipment: Prompt shipment. 3.6 Packing: Export Standard Packing 3.7 Marking: PAPER ASIA in square 4. DOCUMENTS Signed commercial invoice in 3 original, Packing list 3 in original, Surrender bill of lading, Certificate of Origin Form E. 5. FORCE MAJEURE 5.1 If any Party does not or delays to fulfill the obligations in this Contract directly or indirectly due natural disaster, wars, situations similar to war, embargo, disturbance, strike, blockade and other unpredictable and uncontrollable accidents which may not be solved without additional cost and time, this Party shall not bear any responsibility for the other Party. 5.2 In case of force majeure, the affected Party shall inform the other Party within 7 days after occurring of such case and submit documents issued by local relevant department used to prove the occurrence of force majeure within 15 days after occurring of such case. Both parties shall negotiate and reach an optimal solution used to solve the delay and interruption problem of this Contract due to force majeure. If the force majeure continues to seriously impact implementation of crucial obligation under this Contract for the 3 months, either of the Party shall have the right to terminate this Contract by written notice 30 days in advance. 6. NONE – TRANSFERABILITY No Party of this Contract has the right to transfer any right or obligation without the express written approval of the other Party. 7. APPLICABLE LAWS The execution, effectiveness, interpretation, implementation and disputes settlement of this Contract is refer to the international commercial practices. 8. ARBITRATION All disputes related to this Contract or due to implementation of this Contract shall be solved by both parties through amicable negotiation. If no agreement is reached, the dispute shall be submitted to Viet Nam International Arbitration rules on

application Centre (SIAC), and be settled in China according to the valid arbitration rules on application date. 9. PENALTY 9.1 To delay shipment/ delay payment In case delay shipment/ delay payment happens, the penalty for delay interest will be based on annual rate 15%. 9.2 To delay opening L/C In case delay to opening L/C happens, the Seller has the right to delay shipment. 9.3 To cancellation of contract If Seller or Buyer wanted to cancel the contract, 5% of total contract value would be charged as penalty to that party. 10. CONTRACT DISCLOSURE 10.1 Each Party or the related organization or the director, senior staff or employee of each organization shall not disclose any of the following: - The Contract; - The transaction; - The acts related to negotiation of both Parties; and - Communication an information related to any one of the above-mentioned items (confidential information). They shall not disclose any confidential information to the other people except the people participating in the negotiation and/or evaluation and requiring knowing the confidential information, the organizations being informed the content of this Article and required to abide by the regulations in this Article and its senior staff, director, employee and special consultant. 10.2 The Contract comes into force upon the signature and seal by authorized representatives of both Parties.
